Name Validation
Nolo will perform a name availability search before submitting your formation documents to the state. We ask that you provide two to three name choices for your LLC, in order of preference, and we will use the first one available. Please do a preliminary search of your own -- on the California Secretary of State's website at http://kepler.ss.ca.gov/list.html -- so you can take the time to think about another name if your first choice is already taken.
Articles of Organization Filing
Nolo will prepare your articles of organization and send them to the Secretary of State within one or two business days. Your LLC will be formed on the date that the Secretary of State receives the document.
Statement of Information
Your LLC will be required to file a "statement of information" with the Secretary of State within 90 days of formation, and then every two years. When we send you your certified articles of organization, we will include a completed statement of information. You simply sign the form and send it to the Secretary of State's office in the pre-addressed envelope provided, along with a $20 filing fee.
Customized Operating Agreement
If you select the Pro or Express Premiere package, we will prepare an LLC operating agreement for your LLC and customize it according to your interview answers and the laws of your state. Your operating agreement is an important part of your LLC formation. Here's why:
- It helps ensure that courts will respect your personal liability protection by showing that you have been conscientious about organizing your LLC.
- It sets out rules that govern how profits will be split up, how major business decisions will be made, and the procedures for handling the departure and addition of members.
- It helps to avert misunderstandings among the owners over finances and management.
- It allows you to create your own operating rules rather than being governed by the default rules in your state's LLC laws, which might not be to your benefit.
- It will authorize one or more members of the LLC to deposit and withdraw funds in an LLC bank account, an important first step in starting your new business!

IRS Employee Identification Number (EIN) Application
If you choose Nolo's Express Premiere package, Nolo will prepare IRS Form SS-4, your application for an employer identification number (the business tax i.d. number issued by the IRS). We will send your completed SS-4 application to you with your final LLC package. You simply sign it and send it to the IRS in the pre-addressed envelope provided.
Priority Rush Filing (7 - 14 business days)
With Nolo's Priority Rush Filing, your articles of organization will be couriered to the Secretary of State, and your LLC will be formed within 5 to 10 business days. (Without Priority Rush Filing, it typically takes 2 to 5 weeks for the California Secretary of State to process your articles of organization.) You'll receive your final LLC package and LLC records kit and seal 3 to 4 business days after your LLC is formed.

State Fees
The Secretary of State charges filing fees to form your LLC. The filing fees are $84 for the Basic and Pro packages. Filing fees for the Express Premiere package are $89, because the state charges an expedited fee for Priority Rush hand-delivery of your articles of organization. The appropriate filing fees will be added to your package cost at checkout.
In addition, within 90 days of your LLC formation, you will need to send in your statement of information with a $20 filing fee. (When we send you your final LLC package, we will include a filled-out statement of information, which you can sign and send to the Secretary of State's office in the pre-addressed envelope provided.)
