Name Validation
Nolo will perform a name availability search before submitting your formation documents to the state. We ask that you provide two to three name choices for your LLC, in order of preference, and we will use the first one available. Please do a preliminary search of your own -- on the Florida Department of State's website at http://www.sunbiz.org/corinam.html -- so you can take the time to think about another name if your first choice is already taken.
Articles of Organization Filing
In Florida, the document needed to form an LLC is called "articles of organization." Nolo will prepare your articles of organization, which will be filed with the Department of State. Your LLC will be formed on the date that the Department of State accepts the document.

We will prepare an LLC operating agreement for your LLC and customize it according to your interview answers and the laws of your state. Your operating agreement is an important part of your LLC formation. Here's why:

IRS Employee Identification Number (EIN) Application
If you choose Nolo's Express Premiere package, Nolo will prepare IRS Form SS-4, your application for an employer identification number (the business tax ID number issued by the IRS). We will send your completed SS-4 application to you with your final LLC package. You simply sign it and send it to the IRS in the pre-addressed envelope provided.
Priority rush filing
With Nolo's Priority rush filing, your articles of organization will be submitted to the Department of State within 1 business day. We will send your final LLC package and LLC records kit and seal within 5 business days, by 2-day shipping. (Without Priority rush filing, your articles of organization may not be submitted until 4 to 5 days later, and your final LLC package will be shipped within 10 business days.)

State Fees
The Department of State charges a filing fee to form your LLC. The filing fee is $155. This filing fee will be added to your package cost at checkout.
In addition, an annual report is due by May 1 of each year, starting the year subsequent to formation, with a filing fee of $138.75.
